Please read these Terms of Service ("Terms") carefully before using the Measured platform. By accessing or using the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Measured platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you may not access or use the platform. Your continued use of the platform following any updates to these Terms constitutes acceptance of the revised Terms.

2. Description of Service

Measured is a software platform designed to help businesses manage and facilitate commercial B2B transaction workflows related to equipment acquisition and financing, vendor finance programs, credit intake, transaction structuring, documentation, communication, and related operational processes. Measured provides tools that support coordination among authorized users, customers, vendors, lenders, and other transaction participants, and may include features for data capture, data analysis, workflow management, reporting, messaging, document handling, and related business functions. The platform is made available to authorized users under a subscription or other commercial arrangement and is subject to these Terms.

3. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Measured immediately of any unauthorized use of your account or any other security breach, not share your account credentials with any third party, and ensure that all information you provide to us is accurate and kept up to date. Measured will not be liable for any loss or damage arising from your failure to comply with this section.

4. Acceptable Use

You agree to use the Measured platform only for lawful purposes and in accordance with these Terms. You agree not to use the platform in any way that violates applicable federal, state, local, or international law or regulation; attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the platform; scrape, crawl, or use automated means to extract data from the platform without express written permission; interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure; attempt to gain unauthorized access to any portion of the platform or its related systems; or use the platform to transmit any unsolicited or unauthorized advertising or promotional material.

5. Data and Privacy

Measured processes your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. You are solely responsible for the accuracy, quality, and legality of any data you upload or input into the platform. By using the platform, you represent and warrant that you have all necessary rights to submit such data and that doing so does not violate any applicable law or third-party rights.

6. Intellectual Property

The Measured platform, including its software, design, features, and documentation, is owned by Measured and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the platform or any of its components to you. You retain ownership of all data and content you upload to the platform. By uploading data, you grant Measured a limited, non-exclusive license to process and display that data for the purpose of providing the service to you and for improving its services and overall platform.

7. Limitation of Liability

The Measured platform is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Measured disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Measured shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the platform, even if Measured has been advised of the possibility of such damages.

8. Modifications to Terms

Measured reserves the right to modify these Terms at any time. When changes are made, the version identifier will be updated and users will be required to review and accept the revised Terms before continuing to use the platform. It is your responsibility to review the Terms each time you are prompted.

9. Termination

Measured may suspend or terminate your access to the platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Governing Law

These Terms and any disputes arising out of or related to them or the Measured platform shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in the State of North Carolina for the resolution of any such disputes.
